Terms of Service
1. What Studio Zero Estimating is
- Studio Zero Estimating is take-off and estimating software for Windows and Mac: a PDF drawing viewer for measuring and counting, and an estimate organised by MasterFormat numbers, with calculators, a cost summary and estimate classes (the "Software").
- You download and install the program. Your projects, drawings, take-off markups and estimates are saved to Studio Zero's online service (the "Service"), so you need an internet connection to sign in and to work.
- It is sold only for business use (estimators, contractors, trades and other working professionals), not for personal, family or household use. You must be at least 18 years old.
- The program opens Studio Zero's own pages, so improvements reach you automatically. We do not remove a core feature you are paying for without 60 days' notice.
2. Your licence
- For each user you pay for, we give your business a non-exclusive, non-transferable licence to install and use the Software for its own work while your subscription is active.
- Each licence is for one named person. A sign-in may not be shared between people. The same person may install the program on more than one of their own computers.
- You may not copy, resell, rent or sublicense the Software, reverse engineer it except where the law allows it, or use it to build a competing product.
- We own the Software, its design and the Studio Zero brand. If you send us suggestions, we may use them freely.
3. Price, payment and renewal
- Price. $250 Canadian dollars (CAD) per user, per year. The price that applies is the one shown when you buy.
- Currency. We charge in Canadian dollars. If you buy from outside Canada, checkout may show and charge the price converted into your currency by our payment processor, Stripe, at its rate at the time, which is shown before you pay. Any fee your own bank charges is yours.
- Taxes. Prices do not include sales taxes (such as GST, HST, PST, QST or US state and local sales tax). They are added where the law requires.
- Adding and removing users. Each user is paid for by the year. A user added later is charged the full yearly price on the day they are added, and that user's year runs 12 months from that day and renews on its own date. A user removed keeps access until the end of their paid year, and is not renewed.
- Automatic renewal. Each user's subscription renews every year, for one more year, at the price you are paying, and the card on file is charged on that user's renewal date, until you cancel. We email the account owner a reminder 7 days before each renewal, with the date, the amount and how to cancel. We will not raise the price without telling you at least 30 days before the renewal it applies to.
- Cancelling. You can cancel online at any time, in the program (Account, then Manage or cancel) or on our website at Manage or cancel, in the same way you bought. You can cancel every user or only some. Cancelling stops every future charge for those users. They keep access until the end of their year already paid.
- Refunds. Fees already paid are not refunded, except where the law requires it.
- Failed payment. If a payment fails we try again and tell the account owner. If it is still unpaid after 14 days, sign-in is paused, but nothing is deleted. If it is still unpaid 30 days later, the subscription ends and section 9 applies.
4. Your data
- You own your content: the drawings you upload, your take-offs and markups, your estimates, your unit prices and your project information.
- You give us permission to store, copy, display and process your content only to provide, secure and support the Service for you. We do not sell your content, do not show advertising, and do not use your content to train any artificial-intelligence model.
- Your business's content is kept in its own database, separate from every other customer's. How we handle personal information is explained in our Privacy Policy, which forms part of these terms.
- You can take your work out at any time: estimates as a spreadsheet (CSV), as a copy to paste, or printed or saved as PDF; take-offs as a CSV or a printed summary.
5. Drawings and other people's rights
- Only upload drawings and documents you have the right to use. Construction drawings are usually the copyright of the architect or engineer who made them; you are responsible for having permission to copy and use them for your estimate.
- Drawings can contain personal information, such as an owner's name or a site address. You are responsible for having the right to use that information, and for the instructions you give us about it.
- If you believe something in the Service infringes your copyright, write to info@studio-zero.ca with: your contact details; the work you say is infringed; where the material is; a statement that you believe in good faith the use is not authorised; a statement that your notice is accurate and that you are the owner or authorised to act for the owner; and your physical or electronic signature. We act on valid notices, forward notices under Canada's notice-and-notice rules where they apply, and end the accounts of repeat infringers.
6. Prices, quantities and results are yours to check
- The Software is a tool. Measurements depend on the scale you set and the points you place; calculators depend on the inputs you give them. You are responsible for checking quantities, prices, waste factors, taxes and totals before you use an estimate, submit a bid or place an order.
- The Software does not give engineering, architectural, legal or building-code advice, and it is not a substitute for a qualified professional.
- MasterFormat® is a registered trademark of The Construction Specifications Institute, Inc. (CSI). Studio Zero Estimating is not affiliated with or endorsed by CSI.
7. Acceptable use
You may not use the Service to break the law; to upload malware or attack, overload or probe the Service; to get into another customer's data or account; to upload material you have no right to; to send spam; or to get around the per-user licence. You may not use the Service from, or for, a person or place under Canadian or US sanctions or embargo.
8. Availability and support
- We aim for the Service to be available 99.9% of the time each month, not counting maintenance we announce in advance.
- Support is by email at info@studio-zero.ca, answered within one business day, Monday to Friday, Pacific time.
9. When the subscription ends
- However it ends (you cancel, a payment is not made, or a serious breach), you have 30 days to take your data out, or to ask us for it in a standard format. After 30 days we delete it permanently, including from our nightly backups as they expire (they are kept 30 days), except what the law requires us to keep, such as billing records.
- We may suspend or end the subscription if you seriously break these terms and do not fix the problem within 30 days of our notice, or at once for illegal use or for harm to the Service or to other customers. We give notice where it is practical.
10. Our promises, and their limits
- We provide the Software and the Service with reasonable skill and care, and in line with these terms and the Privacy Policy.
- Otherwise, and as far as the law allows, they are provided "as is". We do not promise they will never have a fault.
- Limit of liability. Our total liability for all claims related to the Software or the Service is limited to the fees you paid us in the 12 months before the claim, and we are not liable for indirect or consequential loss, such as lost profits, lost bids or the cost of an estimate that was wrong. This limit does not apply to our obligations on data protection and security incidents, to fraud, wilful misconduct or gross fault, or to anything else the law does not allow us to limit. In Quebec, under article 1474 of the Civil Code of Québec, no one may exclude or limit liability for material injury caused by intentional or gross fault, or for bodily or moral injury caused to another person, so nothing here does.
- Indemnities. You protect us against claims caused by content you upload that you had no right to, or by your breaking the law in how you use the Service. We protect you against claims that the Software itself infringes someone's intellectual property.
- Each side keeps the other's non-public information confidential and uses it only for this agreement.
11. Law and courts
- These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, wherever you are, including every Canadian province and territory (Alberta, British Columbia, Manitoba, New Brunswick, Newfoundland and Labrador, Nova Scotia, Ontario, Prince Edward Island, Quebec, Saskatchewan, the Northwest Territories, Nunavut and Yukon) and every US state and the District of Columbia.
- Disputes are heard by the courts of British Columbia, and both sides accept their jurisdiction. There is no compulsory arbitration and no waiver of class actions.
- Choosing British Columbia law never takes away a protection that the law where you live gives you and that cannot be given up by contract. In the United States, where a state's law gives rights that cannot be waived, those rights apply.
- Quebec. These terms are a contract of adhesion. Under articles 1435 to 1437 of the Civil Code of Québec, a clause in another document they refer to (such as the Privacy Policy) binds you only if it was expressly brought to your attention when you agreed; a clause that is illegible or incomprehensible to a reasonable person is null if it causes you injury; and an abusive clause is null or its obligation reduced. A consumer keeps the protection of the mandatory rules of Quebec law (article 3117) and may bring a claim before the Quebec courts (article 3149).
12. Changes to these terms
We may update these terms. We tell the account owner at least 30 days before a change that reduces your rights takes effect. If you do not agree, you may cancel before the change takes effect, and nothing renews after that.
13. Language
These terms are written in English and offered in French. In Quebec, as section 55 of the Charter of the French Language requires for a contract of adhesion, the French version is given first, and you are bound by the English version only if you expressly ask for it after receiving the French one.
14. General and contact
If one part of these terms is unenforceable, the rest stays in force. Neither side is responsible for delays caused by events outside its reasonable control. You may not transfer this agreement without our consent, except to a business that takes over yours. Notices go to 1548705 B.C. Ltd., operating as Studio Zero, 351 Copper Drive, Britannia Beach, BC V8B 1C5, Canada, and info@studio-zero.ca.
